By using the Amiver Technologies Web
Site and/or transactions placed online,
offline, over the telephone, through the
post, or via e-mail "You" agree to be bound
by the terms and conditions set out below.
If “You” do not wish to be bound by these
terms and conditions, "You" should not use
the Amiver Technologies website
and/or its services.
"You" agree that any use by "You" of the
Amiver Technologies Web Site and/or its
services shall be in accordance with the
following conditions:
Copyright
"You" will not download, copy, reproduce,
republish, frame, broadcast, transmit in any
manner whatsoever, any material on the
Amiver Technologies Web Site except that
which is strictly necessary for "Your" own
personal non-commercial use. All copyright,
trademarks and all other intellectual
property rights for all material or content
supplied as part of the Amiver
Technologies Web Site shall remain at
all times vested in Us. "You" will not, and
"You" will also not assist or facilitate any
third party to, download, copy, reproduce,
transmit, distribute, frame, commercially
exploit or create derivative works of such
material or content. Should "You" become
aware of any such exploitation; "You" agree
to notify Amiver Technologies
immediately upon knowledge of such.
Security
"You" will not do anything which affects the
operation or security of the Amiver
Technologies Web Site or that which
causes unreasonable inconvenience, offence
or disruption to any member of Amiver
Technologies.
Third Party Web Sites
"You" acknowledge and agree that Amiver
Technologies is not responsible for the
availability of any third party Web Sites or
material which "You" choose to access
through the Amiver Technologies Web
Site via external links or internal frames.
Amiver Technologies do not endorse
and will not be held responsible or liable
for any content, advertising, products or
services on or available from such web sites
or material provided by such web sites. Any
dealings between "You" and any third party
advertisers or merchants found on or via the
Amiver Technologies Web Site,
including payment for and delivery of
products, services and any other terms,
conditions, warranties or representations
associated with such dealings, are made
between “You” and the relevant advertiser or
merchant. As such, Amiver Technologies
is neither responsible nor liable for any
loss or damage of any kind incurred by "You"
as the result of any such dealings.
Indemnification
"You" agree to indemnify, defend, and hold
harmless Amiver Technologies, known
as the "Provider" which entails its
officers, directors, employees, agents, and
suppliers from and against all losses,
expenses, damages and costs, including
reasonable legal fees, resulting from any
violation of these terms and conditions set
out before “You“.
Errors
In the event an Amiver Technologies
product or service is shown to be listed at
an incorrect price due to typographical
error or error in pricing information
received from our suppliers, Amiver
Technologies shall have the right to
refuse or cancel any orders placed by "You"
for product or service listed at the
incorrect price. Amiver Technologies
shall have the right to refuse or cancel any
such orders.
Timescale
Amiver Technologies will use by
reasonable endeavors to provide the Services
in accordance with any timescale set out on
the Order Confirmation/Contract, but will
not be liable to "You" where, using those
endeavors, it fails to meet any timescale.
"You" will supply in a timely manner all
information, instructions, review and
feedback reasonably required by Amiver
Technologies in connection with the
performance of its obligations under the
Contract and will appoint a representative
who is fully empowered and authorized to
provide the same and in case of not
providing the content within due date, "You"
will have to pay the remaining amount on
maturity and work will be completed as soon
as the data/content is provided by "You".
Estimate
Amiver Technologies will supply you
with an estimate of costs involved for the
products or services you have requested
prior to any work commencing.
Contract of Agreement
Upon agreement of service and/or product to
be provided to "You" the percentage of funds
to be deposited with Amiver Technologies
before commencement of service and/or
product will be graded between 50% to 60%,
or in some cases 100%, according to services
contracted for and "You" shall provide, no
longer than 7 days after completion, the
remainder of monies agreed upon by "You" and
Amiver Technologies for the completed
service and/or product. If the agreement is
cancelled after work has commenced,
"You" will be liable for any costs for
purchases or labor made on “Your” behalf
incurred up to and including the date of
cancellation.
Product and Services
"You" agree to not redistribute any product
or/and service, in part or in whole provided
to you by Amiver Technologies, via
any form of transmission including, but not
limited to email, download, broadcast or
print for the sole purpose of providing to a
third party, either freely or paid, for
purposes other than those to which the
product and/or service was originally
intended and agreed upon by "You" and
Amiver Technologies.
Amiver Technologies does not under
any circumstances accept responsibility or
accountability for the product and/or
service provided to "You" to provide sales
and purchases from "Your" web site.
Amiver Technologies holds no guarantee
that the product or/and service provided to
you, when used in conjunction with "Your"
product and/or service will provide revenue
as "Your" intended purpose.
Amiver Technologies Web Site reserves
the right to use examples of products and/or
services created by Amiver Technologies for
our own promotional purposes. Amiver
Technologies also reserve the right to
use elements of any design created by us
again in other web sites that we design.
Domain, Hosting & Maintenance
"You" agree that Amiver Technologies
will suspend or terminate access to the
services provided without notice to "You" if
"Your" account becomes overdue. Amiver
Technologies will not in any way be
responsible for any loss or damage to "You"
or any other party as a result of such
suspension or termination. Amiver
Technologies may request "You" to
resolve any breach of this agreement. If
"You" fail to resolve any such breach within
7 days from the issuing of such a request by
Amiver Technologies, Amiver
Technologies is entitled to view "You"
as having committed a material breach and
renege "Your" obligations under the
agreement and to terminate the agreement
without further notice. With termination of
this Agreement, all monies owing by "You" to
Amiver Technologies are immediately
due and payable.
Some of the offline customers are offered
free domain names and hosting but they will
have to pay renewal costs after 1 year. A
maximum of 30 days free upgrade will be
provided according to the service selected
by the customer. Upgrade does not include
whole redesign work or work from scratch.
Only minor changes will be handled free of
cost. Major changes like redesign will be
quoted separately.
Ownership
“You” will unconditionally guarantee that
any text, logos, graphics, photographs,
designs, trademarks, or other items supplied
are owned by “You“, or that “You” have the
written permission to use them from the
rightful owner and indemnify Amiver
Technologies from any claim or suit
arising from the use of such items supplied
by the client.
These terms and conditions are applicable to
“You” upon your accessing the website and/or
availing any of its services offline and/or
online. These terms and conditions, or any
of them, may be modified or terminated by
Amiver Technologies without notice at
any given time and for any given reason.
“Your” use of the Amiver Technologies
website will be deemed as acceptance of the
terms existing at that time. |
